MICROSOFT 365 INTEGRATION TERMS
Carrier Procurement Email Functionality

These Microsoft 365 Integration Terms (“Integration Terms”) govern access to and use of S2Q Systems, LLC’s Microsoft 365 integration in connection with S2Q’s carrier procurement functionality (the “Integration”).
1. Relationship to S2Q Master Terms
These Integration Terms supplement the S2Q Software Subscription & Services Terms & Conditions available at https://www.s2qsystems.com/master-terms (the “Master Terms”), together with any applicable Order or other written agreement between S2Q and the Customer. Capitalized terms not defined in these Integration Terms have the meanings assigned in the Master Terms. If these Integration Terms conflict with the Master Terms, these Integration Terms control only with respect to the Integration.
2. Eligibility and Authority
The Integration is available only to Customers and Authorized Users permitted to use the applicable S2Q functionality. By connecting a Microsoft 365 account, the individual completing the connection represents that the individual is authorized by the Customer and by the organization that controls the Microsoft 365 account to grant the requested access and use the Integration. Customer is responsible for determining which Authorized Users may connect accounts and use the Integration.
3. Microsoft Account Connection and Authorization
The Integration uses Microsoft’s authentication and authorization process and Microsoft Graph. When an Authorized User connects a Microsoft 365 account, Microsoft will display the permissions requested by the Integration. By approving the connection, the Authorized User authorizes S2Q to access and use the connected account only within the scope of the permissions granted and as reasonably necessary to provide, secure, maintain, and support the Integration.
The Integration is send-only. It uses the connected account to transmit outbound carrier procurement communications initiated through the S2Q platform. The Integration does not read, retrieve, monitor, or ingest inbound emails or other mailbox content from the Authorized User’s Microsoft 365 account. Carrier replies remain in the user’s Microsoft 365 mailbox and are not accessed through this Integration.
4. Outbound Carrier Procurement Communications
The Integration enables Authorized Users to send carrier procurement communications from a connected Microsoft 365 mailbox. Depending on the functionality selected by the Authorized User, a communication may include carrier contact information, origin and destination information, equipment requirements, pickup or delivery dates, shipment or lane details, pricing requests, deadlines, message content, and attachments or links.
The Integration may automatically identify and preselect carrier recipients based on criteria configured by Customer or applied through the S2Q platform. Before a communication is initiated, the Authorized User may review the proposed recipients and keep or deselect individual carriers. Customer controls the final recipient selection and the decision to initiate the communication. S2Q is not the sender or intended recipient of such communications.
5. Customer Responsibilities
Customer and its Authorized Users are responsible for:
ensuring that connected accounts are business accounts that Customer and its Authorized Users are authorized to use;
reviewing and confirming recipients, message content, attachments, shipment information, pricing requests, and other details before initiating a communication;
maintaining accurate and lawful carrier contact information;
complying with applicable privacy, electronic communications, anti-spam, telemarketing, transportation, procurement, and record-retention requirements;
responding to carrier communications and honoring commitments made through messages sent using the Integration; and
promptly disconnecting accounts or notifying S2Q when an Authorized User no longer requires access or is no longer authorized by Customer.
6. Prohibited Uses
Customer and its Authorized Users may not use the Integration to send unlawful, fraudulent, deceptive, harassing, abusive, infringing, or unsolicited communications unrelated to legitimate carrier procurement activities; send communications in violation of applicable law, carrier opt-out requests, Customer policies, or Microsoft’s applicable terms and sending policies; impersonate another person or organization without authorization; transmit malicious code; interfere with Microsoft, S2Q, or third-party systems; evade sending limits or security controls; or use carrier information in violation of applicable law, contractual obligations, or published policies.
7. Information Processed Through the Integration
To provide the send-only Integration, S2Q may process Microsoft account identifiers, user and organization identifiers, authentication and authorization information, carrier contact information, outbound recipient addresses, outbound message subject lines and content, outbound attachments, transmission status or error information, and technical logs. S2Q processes this information only as needed to authenticate the connection, generate or transmit user-initiated outbound communications, provide support, maintain security, and comply with applicable obligations. The Integration does not process inbound email content. S2Q will process such information in accordance with the applicable agreement with Customer and S2Q’s Privacy Policy, available at https://www.s2qsystems.com/privacy-policy-live/.
S2Q does not sell information obtained through the Integration or use the contents of carrier communications for third-party advertising. Customer remains responsible for providing any notices and obtaining any permissions required for the information it supplies or processes through the Integration.
8. Credentials and Security
S2Q will use commercially reasonable administrative, technical, and physical safeguards designed to protect authentication credentials and information processed through the Integration. Customer and its Authorized Users must protect account credentials, use appropriate Microsoft 365 security controls, and promptly notify S2Q and the applicable Microsoft 365 administrator of suspected unauthorized access. Customer must not provide Microsoft passwords directly to S2Q.
9. Revoking Access and Disconnecting the Integration
An Authorized User or Customer administrator may revoke the Integration’s access through applicable S2Q or Microsoft account settings, subject to Microsoft’s available controls. Revocation or disconnection may prevent the Integration from sending additional messages but may not delete information previously processed or retained in accordance with the applicable agreement, S2Q’s Privacy Policy, legal obligations, or Customer-configured record-retention requirements.
10. Microsoft Services
Microsoft 365, Microsoft Entra ID, and Microsoft Graph are services provided by Microsoft and are not controlled by S2Q. Customer’s use of Microsoft services remains subject to Customer’s agreement with Microsoft. S2Q is not responsible for Microsoft service interruptions, delays, restrictions, security policies, permission changes, sending limits, account suspensions, or modifications that affect the Integration. S2Q may modify or discontinue all or part of the Integration if Microsoft changes or withdraws relevant functionality or if reasonably necessary to protect the security or integrity of the S2Q platform.
11. Suspension and Termination
S2Q may suspend or restrict access to the Integration when S2Q reasonably believes its use violates these Integration Terms, creates a security or legal risk, threatens the operation of the S2Q platform, or may harm S2Q, Microsoft, Customer, a carrier, or another third party. Access to the Integration ends when the applicable S2Q subscription or Order terminates, when authorization is revoked, or when S2Q discontinues the Integration.
12. Disclaimers; Limitation of Liability
The disclaimers, warranties, limitations of liability, indemnification obligations, governing law, and dispute-resolution provisions in the Master Terms apply to the Integration. Without limiting the Master Terms, Customer is responsible for reviewing communications before they are initiated and for decisions made based on carrier responses, rates, availability, or other information obtained through the Integration.
13. Changes to These Integration Terms
S2Q may update these Integration Terms from time to time to reflect changes to the Integration, Microsoft services, applicable law, or S2Q’s practices. S2Q will post the updated Integration Terms and revise the effective date. If required by an applicable agreement or law, S2Q will provide additional notice of material changes.
